Opening a Restaurant in Nha Trang: Legal Preparation

Content reviewed on 29 October 2026.

Opening a restaurant in Nha Trang involves more than registering a food-service business. Checking the premises and operating model before refurbishment can reveal issues that a registration application alone will not address.

Review the site before signing the lease

Check the right to lease, permitted use, building documents and restrictions imposed by the owner or building manager. Address kitchen alterations, extraction, signage, equipment handover and what happens if the site cannot meet the intended requirements. A restaurant in a hotel or mixed-use building may need a different review from a standalone premises.

Match the business form to the investors

A company and a household business have different responsibilities and registration rules. Foreign investment needs its own assessment; using another person’s name should not be treated as a substitute for required investment procedures. Clarify who contributes capital, operates the restaurant, owns the brand and approves key decisions.

Assess food-safety requirements for the actual model

Check whether a food-safety eligibility certificate is required or an exemption applies. An exemption from certification is not an exemption from food-safety conditions. Resolution 15/2026/NQ-CP suspended Decree 46/2026/ND-CP, with Decree 15/2018/ND-CP continuing during the suspension. The applicable position must be checked at filing, rather than assuming the newest decree number governs.

Review related operating conditions

Depending on the site and activities, consider fire safety and escape routes, wastewater, waste and noise, alcohol sales, employment, invoicing and tax. There is no single identical licence checklist for every restaurant. Technical assessments must reflect the actual premises and be carried out by suitable specialists; legal advice does not replace technical design or certification.

Prepare contracts for day-to-day operations

Supplier arrangements should cover provenance, delivery checks, unsuitable goods and supporting records. Employment contracts, delivery-platform terms, customer complaint procedures and management agreements also deserve attention. Where several people invest, agree revenue controls, approval powers and exit arrangements before a disagreement arises.
